    Experts Club — Terms & Conditions

    Effective Date: April 2026 — Version 1.0

    1. Program Overview

    The AssistLink Experts Club ("Program") is a pre-launch initiative offered by AssistLink LLC ("AssistLink," "we," "our") that provides qualifying companies ("Participants," "you") with a permanent percentage discount on the AssistLink full-feature plan in exchange for early commitment, product feedback, and referral participation.

    The Program is open from the date of publication of these terms until the AssistLink platform publicly launches (anticipated Q3 2026). After the platform launches, no new enrollments will be accepted. All discounts earned before the launch date are permanent.

    How it works: Participants enroll on the Advanced plan at their discounted price from the moment the platform launches in Q3 2026. At launch, Participants will have access to all features available in the Core plan (AssistChat, AssistView, E-Reports, and Document Library). When WiseSpace Intelligence launches (anticipated Q4 2026), the full Advanced features — including AI-powered knowledge, smart search, and intelligent answers — will be unlocked on the same plan at the same price. No price increase. No plan change. The Participant's locked-in rate stays the same.

    By joining the Program, you agree to the terms outlined in this document.

    1.1 Plan Definitions

    AssistLink offers its platform through tiered plans. For the purposes of this agreement:

    • Core plan: The standard plan, which includes AssistChat, AssistView, E-Reports, and Document Library. This plan is available to all users at standard pricing and is not subject to the discounts described in this Program.
    • Advanced plan (referred to as "Advanced-tier" in this document): The full-feature plan, which includes everything in Core plus WiseSpace Intelligence — AI-powered knowledge graph, smart search, and intelligent answers. This is the plan to which the Program discount applies.
    • Enterprise plan: A custom plan for large organizations with dedicated infrastructure and custom integrations. Enterprise is not included in this Program.
    • Expert license: A license for technical specialists, service engineers, and support staff who actively resolve issues and collaborate with customers.
    • Team Member license: A license for managers, coordinators, and internal team members who oversee operations, review reports, and participate in internal collaboration.

    1.2 Cost of Participation

    Joining the Experts Club is free. There is no membership fee, no payment required at sign-up, and no credit card required. Participants only incur costs if and when they choose to purchase AssistLink licenses after the platform launches. Participation in the Experts Club does not obligate the Participant to purchase any licenses or subscribe to any plan.


    2. Discount Structure

    2.1 Base Discount

    Every Participant who joins the Program and completes the qualification process (see Section 4) receives a 30% discount on all Advanced-tier licenses (Expert and Team Member) for the lifetime of their active AssistLink account. At this discount level, the full-feature plan costs the same as or less than the standard Core plan — meaning Participants get every feature, including AI, at standard pricing or below.

    Important: Participants subscribe to the Advanced plan at their discounted price when the platform launches in Q3 2026. At that point, the features available will be the same as the Core plan (AssistChat, AssistView, E-Reports, Document Library). When WiseSpace Intelligence launches (anticipated Q4 2026), the full Advanced features are unlocked automatically — same plan, same price. Core-tier licenses are not included in this Program and are offered at standard pricing.

    2.2 Referral Discount Growth

    Participants may increase their discount by referring other qualifying companies to the Program. Each qualified referral (see Section 5) adds 5 percentage points to the Participant's discount, according to the following schedule:

    • 0 referrals: 30% off (base)
    • 1 qualified referral: 35% off
    • 2 qualified referrals: 40% off
    • 3 qualified referrals: 45% off
    • 4 qualified referrals: 50% off (maximum — Experts Club Elite)

    The maximum discount achievable through the Program is 50% off all Advanced-tier licenses. No additional referrals beyond the fourth will increase the discount further.

    2.3 Experts Club Elite Automatic Qualification

    The first 6 companies to complete the qualification process in each country are automatically granted the maximum 50% discount, regardless of referral activity. This is referred to as "Experts Club Elite" status. Experts Club Elite status is determined by the order in which companies complete qualification (see Section 4), not by the order in which they submit their email on the early access page.

    2.4 What the Discount Applies To

    • The discount applies to all Advanced-tier licenses on the Participant's account, including Expert licenses and Team Member licenses.
    • The discount applies to the monthly or annual subscription price of each license.
    • The discount does NOT apply to the Core plan. The Core plan is available to all users at standard pricing.
    • The discount does not apply to the Enterprise plan, custom integrations, professional services, or any add-on features priced separately from the Advanced plan.
    • If AssistLink introduces new license types within the Advanced plan in the future, the discount will apply to those new license types as well.
    • There is no limit on the number of Advanced-tier licenses a Participant may purchase at their discounted rate.

    2.5 Pricing Changes

    If AssistLink changes the list price of the Advanced plan, the Participant's percentage discount remains the same. For example, if a Participant has earned a 40% discount and the Expert license price increases from $69/month to $79/month, the Participant pays 40% off $79/month ($47.40/month). The percentage is permanent; the base price to which it applies may change.


    3. Eligibility

    3.1 Who May Participate

    The Program is open to registered business entities that meet all of the following criteria:

    • The company is a registered legal entity (corporation, LLC, LTDA, GmbH, or equivalent) in its country of operation.
    • The company operates in an industry that involves technical equipment, industrial machinery, complex products, or field service operations requiring remote technical support.
    • The registering individual is an authorized representative of the company with the authority to enter into this agreement.

    3.2 Who May Not Participate

    • Individual persons, freelancers, or sole proprietors without a registered business entity.
    • Companies that do not operate in a relevant industry (as determined by AssistLink during the qualification or review process).
    • Companies that register using a personal email address (e.g., @gmail.com, @yahoo.com, @hotmail.com, @outlook.com). A company email domain is required.
    • Competitors of AssistLink or companies whose primary business is to resell or redistribute SaaS licenses.

    3.3 Geographic Eligibility

    The Program is available to companies in every country worldwide. Each country has 6 Experts Club Elite spots. A company's country is determined by the primary country of operation declared during qualification, not by the location of the individual who registers.


    4. Qualification Process

    Joining the Experts Club by submitting an email address does not constitute enrollment in the Program. Enrollment is completed through the following qualification process:

    • Step 1 — Email Submission: The company representative submits their business email on the AssistLink early access page. Personal email domains (e.g., @gmail.com, @yahoo.com, @hotmail.com, @outlook.com) are not accepted.
    • Step 2 — Company Qualification: The user completes a qualification form selecting their company type (equipment/technology provider, manufacturer/plant operator, or neither), industry segment, role, and team size.
    • Step 3a — Auto-Approval: If the user selects a pre-defined industry segment and a pre-defined role, they are automatically approved and can create their account immediately. No call is required.
    • Step 3b — Manual Review: If the user selects "Other" for industry or role, or selects "Neither of these" for company type, their application is submitted for manual review by the AssistLink team. AssistLink will respond within 5 business days to approve or decline the application.
    • Step 4 — Account Creation: Upon approval (automatic or manual), the user creates their account and is assigned their discount level (30% base or 50% Experts Club Elite, depending on their country's availability).

    Important: For manually reviewed applications, if the applicant does not complete account creation within 30 days of receiving the approval email, their position in the queue may be forfeited. The next eligible company in that country's queue will be offered the spot.

    AssistLink reserves the right to decline enrollment to any company that does not meet the eligibility criteria or whose intended use case is not aligned with the platform's purpose.


    5. Referral Program Rules

    5.1 How Referrals Work

    After enrollment, each Participant receives a unique referral link. When another company signs up using that link and subsequently completes the qualification process (Section 4), the referral is counted as "qualified" and the referring Participant's discount increases by 5 percentage points.

    5.2 Referral Qualification

    A referral is considered qualified only when all of the following conditions are met:

    • The referred company signs up using the Participant's unique referral link.
    • The referred company is a distinct, independent legal entity from the referring Participant. Companies under the same parent organization, subsidiaries, or affiliates do not count as separate referrals.
    • The referred company was not already on the AssistLink early access waitlist at the time the referral link was used.
    • The referred company completes the qualification process and is approved for enrollment.

    5.3 Referral Restrictions

    • Self-referrals are not permitted.
    • A Participant may refer an unlimited number of companies, but the discount increase is capped at 50% (4 qualified referrals).
    • If a referred company is later removed from the Program (e.g., for inactivity or disqualification), the referring Participant's discount is not reduced. Earned discount increases are permanent.
    • AssistLink reserves the right to disqualify referrals that appear fraudulent, including but not limited to fake companies, duplicate registrations, or registrations made solely for the purpose of gaming the referral system.

    5.4 Cross-Country Referrals

    A Participant may refer a company from any country. The referred company enters the queue for their own country. The referring Participant's discount increase applies regardless of the referred company's country.


    6. Experts Club Elite

    Experts Club Elite is a recognition status granted to Participants who have earned the maximum 50% discount. There are two paths to Experts Club Elite:

    • Automatic: Be among the first 6 companies in your country to complete qualification. These Participants receive Experts Club Elite status and the 50% discount immediately upon enrollment.
    • Earned: Refer 4 qualified companies to the Program, reaching the 50% discount threshold. These Participants receive Experts Club Elite status once the 4th referral is qualified.

    Experts Club Elite members receive:

    • 50% off all Advanced-tier licenses for the lifetime of their active account.
    • A permanent "Experts Club Elite" badge on their AssistLink company profile.
    • Listing on the AssistLink Experts Club wall (public page on the AssistLink website, with company name and country).
    • Priority access to new features before general availability.
    • Invitation to Experts Club Meetings (quarterly calls with the AssistLink team).

    Experts Club Elite status is permanent and cannot be revoked except under the conditions described in Section 8.


    7. Meaning of "Lifetime"

    Definition: "Lifetime" as used in this Program means for the duration of the Participant's active AssistLink account, subject to the conditions below.

    • An account is considered "active" if it has at least one licensed user and at least one login within the preceding 12 months.
    • If an account has no active licenses and no logins for 12 consecutive months, AssistLink will send a reactivation notice to the Participant's registered email address. The Participant has 30 days to reactivate their account. If no reactivation occurs, AssistLink reserves the right to reclassify the account and discontinue the Program discount.
    • If the Participant cancels their AssistLink account and later re-subscribes, the Program discount is not automatically reinstated. The Participant may contact AssistLink to request reinstatement, which will be considered on a case-by-case basis.
    • If AssistLink LLC is acquired, merges with another company, or ceases operations, Program benefits will be honored for a minimum of 12 months following the effective date of such event. Beyond that period, the acquiring or succeeding entity's policies will apply.

    8. Termination and Forfeiture

    AssistLink may terminate a Participant's enrollment in the Program under the following circumstances:

    • The Participant is found to have provided false or misleading information during registration or qualification.
    • The Participant is found to have engaged in fraudulent referral activity.
    • The Participant's company ceases to exist as a legal entity.
    • The Participant violates AssistLink's Terms of Service or Acceptable Use Policy.
    • The Participant's account meets the inactivity criteria described in Section 7 and the Participant does not respond to the reactivation notice.

    In the event of termination, the Participant will be notified by email at least 15 days in advance, except in cases of fraud, where termination may be immediate.


    9. Non-Transferability

    Program benefits, including discounts, referral credits, Experts Club Elite status, and badges, are non-transferable. They cannot be sold, assigned, gifted, or transferred to another company or individual. If a Participant's company is acquired by or merged into another entity, the surviving entity must contact AssistLink to discuss whether Program benefits can be carried forward. Continuation is not guaranteed and will be evaluated on a case-by-case basis.


    10. Program Modifications

    AssistLink reserves the right to modify the terms of the Experts Club at any time. However, the following protections apply to enrolled Participants:

    • The Program closes to new enrollments on the date the AssistLink platform publicly launches. After this date, new Participants cannot join the Program, and the referral discount mechanic is no longer available for earning additional discount increases. All discounts earned before the closure date are permanent.
    • Any discount earned by a Participant at the time of modification will be honored as a minimum. Program changes will not reduce a Participant's existing discount.
    • Experts Club Elite status, once granted, will not be revoked due to program changes.
    • Material changes to the Program will be communicated to all enrolled Participants by email at least 30 days before taking effect.
    • The referral program mechanics (5% per referral, 50% cap, 4 referrals to maximum) may be modified for new Participants, but existing Participants' earned discounts will not be affected.

    11. Data and Privacy

    Information collected during the Experts Club, including business email addresses, company names, countries, and referral activity, will be processed in accordance with AssistLink's Privacy Policy. This data will be used exclusively for Program administration, communication about AssistLink products and services, and internal analytics. AssistLink will not sell Participant data to third parties.

    Participants who are listed on the Experts Club wall consent to the public display of their company name and country. No other personal or business information will be displayed publicly without explicit consent.


    12. Limitation of Liability

    The Experts Club is provided "as is." AssistLink makes no guarantees regarding the exact launch date of the platform, the launch date of WiseSpace Intelligence and the Advanced plan, the availability of specific features, or the timeline for feature delivery. Anticipated launch dates (Q3 2026 for the platform, Q4 2026 for WiseSpace) are estimates and may change. Participation in the Program does not constitute a contract for the delivery of any specific product or feature by any specific date.

    AssistLink's total liability under this Program is limited to the difference between the discounted price and the standard price of licenses purchased during the first 12 months of the Participant's account.


    13. Governing Law

    This agreement is governed by the laws of the State of Florida, United States of America. Any disputes arising from or related to this Program will be resolved through binding arbitration in Tampa, Florida, in accordance with the rules of the American Arbitration Association.
